1) Definition and Interpretation
In these terms and conditions the following words will have the following meanings:
- Sri Sri Tattva UK, as a trading name of Vita Organics Limited (“we”, “us” or “our”). 2 Nugent Close, Aylesbury, Bucks, HP19 9RQ
- “Buyer” – Refers to the person, firm, or company with whom Vita Organics Limited accepts a contract with. This will also refer to any principal of the Buyer where the Buyer has acted as an agent for the principal.
- “Contract” – Any contract formed between the Buyer and Vita Organics Limited for the sale and purchase of products.
- “Products” or “Goods” – Products or goods which are supplied by Vita Organics Limited pursuant to any contract.
- “Delivery” – The delivery of the products to the Buyer’s address given at the time of order.
- “Order” – Any agreement for the sale of products or goods to the Buyer from Vita Organics Limited.
- From time to time we may amend these Terms and Conditions and when we do so we will update the "last updated" date in the paragraph above. Orders placed after this date will be bound by the changes made.
- This web site is operated by Vita Organics Limited and by using the www.srisritattva.co.uk website you are bound by these terms and conditions.
2) Basis of Sale
2.1 All Contracts shall be concluded upon the basis of these Conditions together with any special conditions issued in writing by Vita Organics Limited to the Buyer at any time prior to Vita Organics Limited acceptance of an order.
2.2 Variations of these Conditions or any special conditions can only be effected by a document signed by a Director of Vita Organics Limited.
2.3 These Conditions apply to the Contract to the exclusion of any other terms that the Buyer seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
2.4 Any order shall be deemed to be an offer by the Buyer to purchase products or goods pursuant to these conditions.
2.5 The contract will come into existence upon acceptance of the order by Vita Organics Limited, which shall occur upon dispatch of the goods by Vita Organics Limited.
2.6 The contract constitutes the entire agreement between the parties. The Buyer acknowledges that it has not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of Vita Organics Limited which is not set out in the contract.
You must be 18 years or over to participate in the www.SriSriTattva.co.uk online order service.
3) Prices, Tax and Payment
3.1 The price you will pay will be the quoted website price at the time you placed or edited your order, subject only to any inadvertent technical error for which we will not be liable.
3.2 All prices quoted are, unless otherwise specified or agreed in writing, inclusive of VAT or any other taxes or duties.
3.3 Details of the amount, type and total price of Products ordered by you (along with any applicable delivery costs) are set out in the checkout form which you submit to us via this website.
3.4 If additional charges arise from delivery by way of packing, transport, insurance, demurrage and other costs, expenses or charges shall be added to the price of the products and shall be the responsibility of and payable by the Buyer.
3.5 Vita Organics Limited may, by giving notice to the Buyer at any time before Delivery, increase the price of the Products to reflect any increase in the cost of the Products that is due to:
(a) any factor beyond Vita Organics Limited control (including foreign exchange fluctuations, increases in taxes and duties, and increases in labor, materials and other manufacturing costs);
(b) any request by the Buyer to change the delivery dates, quantities or types of Products ordered; or
(c) any delay caused by any instructions of the Buyer or failure of the Buyer to give Vita Organics Limited adequate or accurate information or instructions.
3.6 The Buyer shall pay Vita Organics Limited the price of the goods or products and any related costs incurred by Vita Organics Limited (without any deduction, counterclaim or set off) within 28 days of the date of Vita Organics Limited invoice, notwithstanding, that delivery may not have taken place.
4) Promotions
4.1 We may from time to time make promotional offers on the purchase of goods through our website. In this event the terms of any such promotional offer will be subject to these terms and conditions.
4.2 We may change the terms of any promotions, or withdraw them altogether, at any time and without prior notice.
4.3 We reserve the right to offer different promotions to different customers at our complete discretion.
4.4 Refunds given on any purchase subject to a promotional offer will be given on the terms of that promotion and the promotional price.
5) Methods of Payment
5.1 Payment for the Products may be made by debit/credit card.
5.2 Your card details will be requested after you submit the checkout form. You must enter your credit/debit card details on the secure site hosted by our payment service provider.
5.3 The debit and credit cards accepted by us are those listed on the website on the date on which your order is placed.
5.4 You agree to compensate us in full against all reasonable costs expenses and outgoings incurred by us in obtaining payments from you in the event a failed payment occurs. This will include an administration charge of not less than £20. We may at any time after a failed payment has occurred ask a debt collection agency to collect payment from you.
6) Order Acceptance
6.1 Order acceptance and the completion of the contract between you and us will take place on the dispatch of the products you have ordered unless we have notified you that we do not accept your order or you have cancelled it.
6.2 Rejection of an order by us may result from one of the following:
6.2.1 The product you ordered is unavailable.
6.2.2 A pricing or product description error is identified.
6.2.3 We are unable to obtain authorisation for your payment.
6.2.4 You fail to give us the correct billing address to which the credit/debit card used to make your purchase is registered.
6.2.5 We are unable to verify the security details you have given in relation to the credit or debit card used to make your purchase.
6.2.6 You have provided a billing or delivery address that is a PO Box, mail drop box, or any other kind of forwarding address.
6.2.7 We reserve the right to reject any offer to purchase made by you at any time.
7) Confirmation of Order
7.1 Once we have verified that your payment details are correct, we will send you a confirmation email if your order has been successful. This email will contain order details and a transaction reference number. Until we send you this email we have not accepted your order submission and the contract for provision of the Products has not been concluded.
8) Delivery of Products
8.1 The Products will be delivered to the address submitted by you as the address for delivery on the order form. We reserve the right not to deliver to all locations. In the event that your delivery is stolen from the agreed delivery location or damaged there, we do not accept liability, but may consider compensation at our discretion. Any changes to delivery address details must be made before the order is despatched.
8.2 You will only own the Products once we have been paid in full in respect of such Products.
8.3 If we are unable to deliver your order, or have to deliver late or on a different day, for reasons beyond our control, we cannot accept liability for any inconvenience or loss that this may cause.
8.4 If the Products arrive in a damaged condition or wrong goods are delivered you must notify us within 24 hours of delivery, otherwise they may not be considered. It may be necessary for us to inspect defective goods and you will be notified if this is the case when a claim is made. We will refund or replace defective goods notified to us within this timescale, provided that the defect(s) have not been caused by mistreatment, neglect or accidents caused while the goods are in your possession.
9) Cancellation Right
9.1 You have a statutory 'cooling off' period of 14 days from the day you receive your goods, in which time you should notify us should you wish to cancel your contract with us and a full refund of the purchase price paid will be given (excluding p&p).
9.2 If you should choose to return a product to us by providing your notification within the 14 days cooling off period, then the return delivery costs will be borne by you, the customer. However, if you are returning the product(s) due to a fault, the return costs will be borne by us.
9.3 You are only entitled to cancel the contract if when we receive the Products they are in the exact condition in which they were delivered to you.
9.4 In the event that you are entitled to a refund please note that such refund will be made by the same method used to pay for the order and will not include our postage and packing costs.
9.5 We reserve the right to refuse a cancellation where the order consists of perishable goods that may deteriorate rapidly.
10) Our Liabilities
10.1 Nothing in these Terms and Conditions will exclude our liability for personal injury or death caused by our negligence.
10.2 We will not be liable to you if our performance is delayed or fails due to circumstances beyond our reasonable control including, but not limited to, fire, flood, strikes, riot, accident, civil commotion, disruption to energy supplies, and act of terrorism or war.
10.3 We will not be liable to you or any third party for any consequential or incidental loss.
10.4 In respect of Food Products and cosmetics, our liability shall be limited to Food Products consumed up to and including the “Best before” or “ Use by” date.
10.5 Our liability in respect of death, personal injury or fraud caused by the our negligence shall not be limited.
10.6 The Company shall have no liability for any loss or damage suffered by the Customer or any other person.
10.7 As a consequence of any defect in any Product caused by abnormal conditions of storage, treatment or handling or any negligence or wrongful act on the part of the Customer or its employees or agents.
10.8 In accordance with paragraph 6, our sole liability for defective products will be to replace those products or to refund the price of those products. This liability does not apply to defects which have been caused by mistreatment, neglect or accidents caused while the products are in your possession. If you are a consumer, please note that this does not affect your statutory rights.
11) GENERAL
11.1 While every care has been taken to ensure the product information shown on the website is correct, food products are constantly being reformulated and nutrition content may change. We would therefore recommend that you do not rely solely on this information and always check products labels.
11.2 All product images used on our web site are only representative of goods on offer. Actual goods may not be exactly the same size, design or packaging. In the event that you are not happy with any goods received, you have the right to cancel your order, return the goods in its original condition (unopened with any seals and shrink-wrap intact) to us within 14 days and receive a full refund of the purchase price paid (excluding p&p). You are responsible for all shipping costs associated with returning the goods to us.
11.3 Products sold or supplied by srisritattva.co.uk are not intended for the treatment, prevention or cure of any medical conditions. Keep out of reach of children. All information correct at time of publication and subject to change without prior notice. Please check label prior to use. Never exceed recommended intake unless professionally advised. 13) Statutory Rights
13.1 These terms and conditions, including the cancellation rights, do not affect your statutory rights.
13.2 This website is subject to the law of England and Wales and any disputes will be dealt with the Courts of England and Wales. If ordering outside of England and Wales it is your responsibility to check with your local laws as to the legality of our products.
13.3 It is your responsibility to check that it is legal for you to view, purchase & receive the materials provided by this site, based on your local community laws.
13.4 It is the customers' responsibility regarding import and customs regulations for their own locality. We do not assume liability of any kind for shipments seized by customs.
13.5 You should make sure that you carefully read all product packaging and labels prior to use and comply fully with any instructions.
